Position Overview:
The firm is seeking a mid to senior-level Transactional / Corporate-Commercial Lawyer with a solid foundation in corporate law, particularly in handling transactions and commercial contracts. Experience in charity law is a strong asset.
Key Responsibilities:
- Provide legal counsel on corporate-commercial and transactional matters, including mergers, acquisitions, restructurings, and governance.
- Draft, review, and ensure compliance of commercial agreements and other legal documents with applicable regulations.
- Conduct due diligence and support the negotiation and documentation of corporate transactions.
- Advise on charity law matters, such as incorporation, compliance, and governance for non-profit and charitable organizations.
- Collaborate closely with clients to understand their goals and offer tailored, strategic legal solutions.
- Stay up-to-date on legal developments in transactional law, corporate governance, and charity law.
Qualifications:
- LL.B. or J.D. from an accredited institution.
- Member in good standing with the Law Society of Ontario.
- 5+ years of experience in transactional/corporate-commercial law, ideally from a respected law firm or in-house counsel.
- Strong knowledge of corporate law and transaction processes.
- Experience with non-profit organizations and a solid understanding of charity law is highly preferred.
- Excellent communication skills, capable of explaining complex legal concepts in a clear and accessible way.
