Our Client is seeking two Corporate Law Clerks to provide support to their Real Estate team through document and entity management. Key Responsibilities
- Manage legal document system, including responding to requests for documents, saving documents and maintaining organization of all document system
- Assist with the preparation of legal documents, including confidentiality agreements, notices of authorized signatories
- Maintain director/officer slate registers, closing sets, operating agreements and sensitive investor-related documents including registers, subscription agreements and transfer agreements
- Maintain entity lists and organizational structure charts and coordinate quarterly with various platforms and operating companies for updates
- Form new U.S. entities and state qualification of entities as required; coordinate offshore entity formations with outside counsel; coordinate onboarding of newly-formed entities with administrator
- Prepare initial operating agreements and coordinate with outside counsel on preparing amended and restated operating agreements
- Plan and manage for entity dissolutions and wind-downs
- Track and prepare funds flow memorandums and coordinate with multiple parties
- Lead responses to know your customer (“KYC”) requests from financial institutions, including preparing AML-OFAC questionnaires and certifications and creating structure charts
- Assist with bank account openings
- Assist with certain regulatory filings, including BEA, HSR, FATCA, CR
Qualifications
- Law Clerk/Executive Assistant Diploma requires
- Minimum of 10+ years of post-qualification experience
- Exceptional attention to detail
- Excellent interpersonal, written and verbal skills
- Proficiency in Microsoft Word, Excel and PowerPoint
- Strong organizational skills
- Experience in corporate database entry and maintenance
- Proficiency in using a document management system, with knowledge of iManage a plus
