Corporate Law Clerk

Qualifications
- Graduate of a Law Clerk Program with a minimum of 5 years’ Corporate Commercial experience;
- Securities experience considered an asset;
- Knowledge of applicable Ontario and Federal legislation governing corporations and partnerships;
- Proficient is MS Office (Word, Excel, Outlook);
- Experience with ALF and ELITE;
- Motivated, able to take initiative, and ability to use good judgment;
- Able to meet timely deadlines and ensure appropriate response times;
- Must be accurate and detail-oriented, with the ability to exercise sound judgment and initiative;
- Excellent organizational and time management abilities;
- Dedicated to providing service beyond expectation
Key Responsibilities
- Attend to the maintenance of annual matters required under the Business Corporations Act (Ontario) and Canada Business Corporations Act, including the preparation of annual resolutions, annual returns, and the maintenance of the extra-provincial registrations etc.;
- Draft and prepare corporate legal documents required in connection with: (i) incorporations and organizations of OBCA or CBCA corporations, and (ii) all fundamental changes required under the OBCA and CBCA and (iii) other corporate changes (such as director, officer and registered office address changes);
- Prepare and file documents to register business name registrations, limited partnership declarations and extra-provincial licenses and registrations;
- Prepare and file documents to form general partnerships, limited liability corporations, etc.;
- Update public records for Ontario and Federal corporations;
- Assist with the maintenance of the corporate records room;
- Organize and update corporate minute books and client database; and
- Assist corporate lawyers with necessary corporate resolutions and documentation required in connection with asset and share purchases and divestitures and corporate organization.
