Primary Duties Include

  • Prepare all public company filings on SEDAR, SEDI, and NRD
  • Drafting and completing documents and proceedings ( continuances, amalgamations, dissolutions)
  • Review, analyze and summarize basic/complex minute books and corporate records
  • Assisting with day-to- day operations within the Corporate Services team
  • Prepare and maintain all filings required to support our clients who rely on an international or other exemption from the dealer, adviser or investment fund manage registration requirements
  • Draft meeting materials including proxy materials, scripts, minutes, etc.
  • Communicate professionally with all internal and external clients
  • Prepare and file business name, partnership and limited partnership registrations as required by provincial legislation
  • Prepare and file annual returns, Forms 1 and 2 as required by the Corporations Information Act (Ontario)
  • Perform corporate and due diligence searches online as requested
  • Docket editing and processing accounts
  • Perform a variety of legal, administrative and other duties as required

Qualifications or Skills Required:

  • Minimum 7+ years of experience as a Law Clerk, preferably in Securities
  • Post-secondary Law Clerk Diploma required
  • Member in good standing with the Institute of Law Clerks of Ontario (ILCO)
  • Previous experience preparing and completing NRD, SEDAR and SEDI filings
  • Strong technical skills, including, but not limited to, Microsoft Office Suite, Sedar, Sedi CorpLink, Cyberbahn and Adobe
  • Ability to apply working knowledge of the relevant corporate statutes and securities legislation
  • Detail oriented, hard-working and self-motivated
  • Ability to interact and effectively communicate with clients and legal professionals
  • Flexibility to work outside regular business hours and work remotely when required and/or necessary
