Law Clerk - Corporate (3269) Full Time

Our client, a mid-sized firm is seeking a Corporate Law Clerk with 4+ years of experience to join their Downtown firm. The ideal candidate will be a friendly professional who can assist the Corporate Team with the utmost attention to detail whilst lending their expertise. Salary: $65K - 70K

Primary Duties Include

  • Drafting documentation relating to incorporations, annual proceedings, dissolutions, annual resolutions, etc.;
  • Conducting minute book reviews and maintaining corporate records/registers;
  • Conducting corporate searches, and analyzing/summarizing search results;
  • Assisting with corporate reorganizations, share and asset purchase transactions
  • Preparing/maintaining closing checklists;
  • Reviewing/drafting closing documents including resolutions, officers’ certificates and other supporting documents;
  • Preparing closing books and Drafting reporting letters.
  • Other duties as required
Required Experience/Skills/Qualifications                                    

  • Minimum 4+ years of experience in Corporate Law
  • Law Clerk/ILCO Certification
  • Knowledge of applicable corporate statutes and regulations (CBCA, OBCA, etc.);
  • Superior analytical and organizational abilities;
  • Time conscious and deadline oriented;
  • Proficient in MS Word; MS Outlook
  • Ability to work independently with little supervision
